TERMS OF SERVICE

Welcome to FatCat Arena, LLC ("FatCat Arena," "FatCat," "Company," "we," "our," or "us").

These Terms of Service ("Terms") govern your access to and use of the FatCat Arena website, applications, software, smart contracts, APIs, community features, guild systems, tournaments, competitions, leaderboards, reward programs, and any related services provided by FatCat Arena, LLC (collectively, the "Platform" or "Services").

By accessing, browsing, connecting a wallet to, registering for, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

These Terms constitute a legally binding agreement between you and FatCat Arena, LLC.

For purposes of these Terms, the following definitions apply:

"Account"

Any profile, user identity, wallet connection, guild membership, competition registration, or account created or associated with a user of the Platform.

"Arena"

The competitive environment operated by FatCat Arena through which users may participate in trading competitions, duels, raids, guild activities, tournaments, rankings, and related activities.

"Competition"

Any duel, raid, challenge, tournament, seasonal event, ranking event, promotional event, leaderboard challenge, or other activity conducted through the Platform.

"Digital Asset"

Any cryptocurrency, token, stablecoin, blockchain-based asset, or other digital asset supported by third-party infrastructure integrated with the Platform.

"Guild"

A user-created team, organization, community, clan, faction, or group operating within the FatCat Arena ecosystem.

"Hyperliquid Infrastructure"

The Hyperliquid protocol, HyperEVM infrastructure, APIs, order books, smart contracts, nodes, validators, or related services operated by third parties.

"Session Key"

A delegated cryptographic authorization mechanism allowing a user to approve specific actions without requiring repeated wallet signatures.

"User Content"

Any information, profile information, guild information, usernames, images, logos, comments, messages, posts, or other content submitted by users.

To access or use the Services, you represent and warrant that:

(a) You are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater;

(b) You possess the legal capacity to enter into binding contracts;

(c) You are not prohibited by any applicable law from using the Services;

(d) You are not acting on behalf of any prohibited person, sanctioned individual, sanctioned entity, terrorist organization, or restricted jurisdiction;

(e) Your use of the Services complies with all applicable laws, regulations, and governmental requirements.

FatCat reserves the right to request age verification, identity verification, proof of residency, or any other documentation deemed necessary.

Failure to provide requested documentation may result in suspension or termination of access.

The Services are not intended for individuals or entities located in jurisdictions where participation may violate applicable laws or regulations.

You may not access or use the Services if:

• You are subject to economic sanctions;
• You are located in a sanctioned jurisdiction;
• You appear on any governmental sanctions list;
• Your activities violate anti-money laundering regulations;
• Your activities violate counter-terrorism financing regulations.

FatCat reserves the right to block, suspend, terminate, or restrict access at any time based upon sanctions, compliance concerns, regulatory requirements, or legal risk assessments.

Use of VPNs, proxies, routing services, or similar technologies to evade geographic restrictions may constitute a violation of these Terms.

FatCat reserves the right to modify, amend, revise, supplement, or replace these Terms at any time.

Updated Terms become effective upon publication unless otherwise stated.

Continued use of the Services following publication constitutes acceptance of revised Terms.

Users are responsible for reviewing Terms periodically.

FatCat may modify, suspend, discontinue, replace, redesign, or remove any feature of the Services at any time.

This includes but is not limited to:

• Duels
• Guilds
• Tournaments
• Leaderboards
• Rankings
• Rewards
• Referral systems
• Staking programs
• Token-related features
• APIs
• Mobile applications
• Smart contract integrations

FatCat makes no guarantee regarding continued availability of any feature.

FatCat Arena is a competitive trading and entertainment platform.

The Platform may include:

• One-on-one trading duels
• Guild-based competitions
• Guild raids
• Seasonal leagues
• Tournament brackets
• Rankings
• Leaderboards
• Spectator features
• Reward programs
• Community interaction systems

FatCat is not a bank.

FatCat is not a broker-dealer.

FatCat is not an investment adviser.

FatCat is not a commodity trading adviser.

FatCat does not provide custody services unless explicitly stated.

The Platform is designed for entertainment, competition, and community participation.

Users are solely responsible for:

• Wallet security
• Private keys
• Seed phrases
• Passwords
• Session keys
• Devices
• Authentication methods

FatCat cannot recover lost private keys or seed phrases.

FatCat is not responsible for:

• Hacked wallets
• Stolen credentials
• Phishing attacks
• Social engineering attacks
• Lost devices
• Unauthorized transactions

Any activity conducted through a connected wallet may be deemed authorized by the wallet owner.

Certain platform features may utilize delegated Session Keys.

By enabling a Session Key, you authorize actions permitted within the Session Key permissions granted by you.

You acknowledge and accept risks associated with Session Key usage including:

• Unauthorized device access
• Malware
• Credential theft
• Software vulnerabilities

You assume full responsibility for use of Session Keys.

FatCat may reclaim, modify, suspend, or remove:

• Usernames
• Guild names
• Profile images
• Guild logos
• Team branding
• Display names

FatCat may do so for any reason including:

• Impersonation
• Trademark infringement
• Offensive content
• Abuse
• Fraud
• Platform integrity concerns

Users acquire no ownership rights in usernames or platform-assigned identifiers.

Users agree not to:

• Harass others
• Threaten others
• Impersonate others
• Publish illegal content
• Defraud users
• Circumvent security systems
• Use bots without authorization
• Engage in money laundering
• Violate applicable law

FatCat may take enforcement action without prior notice.

FatCat maintains sole authority regarding:

• Competition outcomes
• Rankings
• Eligibility
• Disqualifications
• Rewards
• Tournament administration

Activities prohibited include:

• Match fixing
• Win trading
• Wash trading
• Multi-accounting
• Guild collusion
• Artificial volume generation
• Exploit abuse
• Reward farming
• Automated manipulation

FatCat's decisions concerning competition integrity shall be final and binding.

Leaderboards are provided for informational and entertainment purposes.

FatCat reserves the right to:

• Recalculate rankings
• Adjust rankings
• Remove rankings
• Correct errors
• Suspend rankings

Rankings may contain delays, inaccuracies, or interruptions.

Users assume all risk associated with reliance upon rankings and performance metrics.

Guilds are user-created organizations.

FatCat does not guarantee:

• Guild leadership
• Membership rights
• Internal governance
• Revenue sharing
• Guild agreements

FatCat may intervene where necessary to protect platform integrity, legal compliance, or user safety.

FatCat may charge fees including:

• Arena fees
• Tournament fees
• Guild creation fees
• Trading fees
• Service fees
• Platform fees

Fees may be modified at any time.

All fees are non-refundable unless otherwise required by law.

FatCat Arena may integrate with third-party infrastructure, software, protocols, blockchain networks, APIs, wallets, exchanges, smart contracts, oracle providers, analytics services, cloud providers, and other technologies.

Such third-party services may include, without limitation:

• Hyperliquid
• HyperEVM
• Wallet providers
• Blockchain nodes
• Oracle networks
• Market data providers
• Liquidity providers
• Payment processors
• Analytics providers
• Identity verification providers

FatCat does not own, operate, control, maintain, or guarantee the performance of any third-party service.

Users acknowledge that:

(a) Third-party services may experience outages, downtime, congestion, attacks, exploits, forks, failures, liquidations, bugs, or unexpected behavior;

(b) FatCat has no authority to reverse, modify, cancel, or correct actions executed through third-party infrastructure;

(c) FatCat is not responsible for losses arising from third-party systems.

Users assume all risks associated with interactions involving third-party infrastructure.

FatCat Arena may utilize Hyperliquid infrastructure to facilitate certain platform functionality.

Users acknowledge and agree that:

(a) Hyperliquid is operated independently from FatCat Arena;

(b) Hyperliquid protocols may change without notice;

(c) Hyperliquid may experience:

• Downtime
• Congestion
• Security incidents
• Smart contract vulnerabilities
• Oracle failures
• Governance changes
• Economic attacks

(d) FatCat Arena is not responsible for any losses resulting from Hyperliquid-related events.

Users use Hyperliquid integrations entirely at their own risk.

The Platform may utilize smart contracts to facilitate:

• Competition settlement
• Rewards distribution
• Tournament administration
• Guild-related functions
• Future staking functionality
• Future token-related functionality

Smart contracts are experimental technologies.

Users acknowledge that smart contracts may contain:

• Coding errors
• Security vulnerabilities
• Design flaws
• Exploitable conditions
• Economic vulnerabilities

FatCat makes no guarantee that smart contracts will operate without interruption or error.

Users assume all smart contract risks.

Digital assets are highly speculative.

Prices may fluctuate dramatically.

Users may experience:

• Partial losses
• Significant losses
• Total losses

Factors affecting digital asset values include:

• Market sentiment
• Liquidity conditions
• Regulatory actions
• Exchange failures
• Technological developments
• Security incidents
• Macroeconomic events

FatCat does not guarantee value preservation of any digital asset.

Certain platform activities may involve leveraged trading through third-party infrastructure.

Users acknowledge:

(a) Leverage magnifies gains and losses;

(b) Positions may be liquidated automatically;

(c) Liquidation may occur without warning;

(d) Users may lose all collateral associated with a position;

(e) Market conditions may prevent desired exits.

FatCat is not responsible for liquidation events.

Cryptocurrency markets operate continuously and may experience extreme volatility.

Market movements may occur rapidly and without warning.

Users acknowledge that:

• Stop losses may not execute as expected;
• Slippage may occur;
• Liquidity may disappear;
• Positions may become unmanageable during volatile periods.

FatCat bears no responsibility for market-related losses.

Platform functionality may rely upon external data sources.

Failures may include:

• Delayed price feeds
• Incorrect pricing information
• Oracle manipulation
• Data corruption
• Network outages

FatCat does not guarantee the accuracy, completeness, or timeliness of any market data.

Users assume all risks arising from data inaccuracies.

FatCat may offer:

• Tournament prizes
• Competition rewards
• Referral rewards
• Promotional rewards
• Community incentives

All rewards are discretionary.

FatCat reserves the right to:

• Modify rewards
• Delay rewards
• Cancel rewards
• Recalculate rewards
• Withhold rewards pending investigation

Eligibility requirements may apply.

FatCat makes no guarantee regarding future rewards.

FatCat may establish referral programs from time to time.

Users may not:

• Self-refer
• Create multiple accounts
• Artificially generate referrals
• Manipulate referral systems

FatCat may reverse, cancel, or reclaim referral rewards obtained through improper conduct.

All referral decisions shall be final.

The FatCat whitepaper may reference future token-related functionality.

Users acknowledge:

(a) No token launch is guaranteed;

(b) Token utility may change;

(c) Governance structures may change;

(d) Staking mechanisms may change;

(e) Reward systems may change;

(f) Buyback and burn mechanisms may change;

(g) Whitepaper provisions may change at any time.

Nothing contained within the Platform, whitepaper, website, social media channels, or communications constitutes an offer to sell securities.

FatCat makes no representation regarding future token value.

FatCat Arena is not:

• A financial advisor
• An investment advisor
• A securities advisor
• A commodity trading advisor
• A broker-dealer

Content made available through the Platform is for informational and entertainment purposes only.

Users remain solely responsible for all investment and trading decisions.

FatCat does not provide:

• Tax advice
• Legal advice
• Regulatory advice
• Accounting advice

Users should consult professional advisors before engaging in digital asset activities.

All Platform content is owned by FatCat Arena, LLC or its licensors.

Protected materials include:

• Software
• Source code
• Branding
• Logos
• Graphics
• Artwork
• Tournament structures
• Guild systems
• Competition formats
• User interface designs

No rights are granted except as expressly provided herein.

Unauthorized use is prohibited.

Users retain ownership of User Content submitted to the Platform.

However, by submitting content, users grant FatCat Arena a worldwide, royalty-free, sublicensable license to:

• Display
• Reproduce
• Distribute
• Publish
• Promote

such content in connection with Platform operations and marketing.

Users may provide ideas, recommendations, or suggestions regarding the Platform.

FatCat may use such feedback without compensation, attribution, or restriction.

Users waive any claims relating to feedback provided voluntarily.

INDEMNIFICATION • LIMITATION OF LIABILITY • ARBITRATION • OREGON GOVERNING LAW • CLASS ACTION WAIVER • TERMINATION • TAXES • GENERAL PROVISIONS

By accessing or using the Services, you expressly acknowledge and agree that participation in digital asset activities, trading competitions, blockchain applications, decentralized technologies, and related services involves significant risks.

You acknowledge and accept, without limitation, the risk of:

• Total loss of digital assets
• Total loss of funds
• Smart contract failures
• Protocol failures
• Wallet compromise
• Security breaches
• Oracle failures
• Market manipulation
• Regulatory action
• Forks
• Blockchain reorganizations
• Technical failures
• Competition disputes
• Liquidity shortages
• Leverage losses
• Liquidation events

You voluntarily assume all risks associated with use of the Platform.

To the fullest extent permitted by law, you release and forever discharge FatCat Arena, LLC and its affiliates, members, managers, officers, employees, contractors, advisors, licensors, service providers, and agents from any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses arising from:

• Your use of the Platform;
• Your participation in competitions;
• Your use of digital assets;
• Your interactions with other users;
• Third-party services;
• Smart contracts;
• Wallet providers;
• Blockchain infrastructure;
• Guild activities;
• Tournament outcomes.

This release applies whether claims arise under contract, tort, statute, equity, or any other legal theory.

You agree to defend, indemnify, and hold harmless FatCat Arena, LLC and its affiliates, managers, members, officers, employees, contractors, advisors, licensors, service providers, and agents from and against any claims, losses, damages, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

(a) Your use of the Services;

(b) Your violation of these Terms;

(c) Your violation of applicable law;

(d) Your violation of any third-party rights;

(e) Any content submitted by you;

(f) Any competition-related dispute involving you;

(g) Any guild-related dispute involving you;

(h) Any fraudulent, deceptive, manipulative, or unlawful conduct.

This indemnification obligation survives termination of your account.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FATCAT ARENA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• TITLE
• NON-INFRINGEMENT
• ACCURACY
• AVAILABILITY
• SECURITY
• RELIABILITY

FATCAT DOES NOT WARRANT THAT:

• THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION;
• THE PLATFORM WILL BE ERROR-FREE;
• THE PLATFORM WILL BE SECURE;
• THE PLATFORM WILL BE AVAILABLE AT ALL TIMES;
• DEFECTS WILL BE CORRECTED;
• RESULTS WILL BE ACCURATE.

ALL USE OF THE SERVICES IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FATCAT ARENA SHALL NOT BE LIABLE FOR:

• LOST PROFITS;
• LOST REVENUE;
• LOST BUSINESS OPPORTUNITIES;
• LOST DATA;
• LOSS OF GOODWILL;
• CONSEQUENTIAL DAMAGES;
• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• SPECIAL DAMAGES;
• PUNITIVE DAMAGES;
• EXEMPLARY DAMAGES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED.

IN NO EVENT SHALL FATCAT'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS ($100); OR

(B) THE AMOUNT OF FEES PAID BY YOU TO FATCAT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

FatCat shall not be liable for delays, interruptions, failures, or damages caused by events beyond its reasonable control, including:

• Natural disasters
• Acts of God
• War
• Terrorism
• Civil unrest
• Government action
• Internet outages
• Blockchain failures
• Cyberattacks
• Labor disputes
• Utility failures
• Pandemics

Performance obligations shall be suspended during such events.

FatCat reserves the right, in its sole discretion, to suspend, restrict, freeze, investigate, or terminate any account at any time.

Reasons may include:

• Violation of these Terms;
• Suspected fraud;
• Competition manipulation;
• Guild collusion;
• Bot activity;
• Sanctions concerns;
• Regulatory concerns;
• Security concerns;
• Legal obligations;
• Platform integrity concerns.

Termination may occur without notice.

Users shall not be entitled to compensation resulting from suspension or termination.

FatCat may investigate any activity it reasonably believes may violate:

• These Terms;
• Competition rules;
• Applicable law;
• Platform policies.

FatCat may cooperate with law enforcement agencies, regulators, governmental authorities, and third-party service providers.

FatCat reserves the right to disclose information as required by law.

The parties agree to attempt good-faith negotiations before initiating formal proceedings.

Written notice of disputes shall be provided to FatCat Arena, LLC.

The parties shall attempt informal resolution for at least sixty (60) days before pursuing arbitration.

Except where prohibited by law, any dispute arising from or relating to:

• The Platform;
• Competitions;
• Rewards;
• Digital assets;
• Guilds;
• Rankings;
• These Terms;

shall be resolved exclusively through binding arbitration.

Arbitration shall be administered by a mutually acceptable arbitration provider.

The arbitrator shall have exclusive authority to determine arbitrability.

Arbitration awards shall be final and binding.

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to conflict-of-law principles.

Unless otherwise required by law, arbitration proceedings shall take place in Portland, Oregon.

The parties consent to the jurisdiction and venue of Oregon for any permitted court proceedings.

YOU AND FATCAT AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN:

• CLASS ACTIONS;
• COLLECTIVE ACTIONS;
• REPRESENTATIVE ACTIONS;
• PRIVATE ATTORNEY GENERAL ACTIONS.

NO ARBITRATION SHALL BE CONSOLIDATED WITH ANY OTHER PROCEEDING.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

ANY CLAIM ARISING FROM THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ARISES.

CLAIMS NOT COMMENCED WITHIN THAT PERIOD SHALL BE PERMANENTLY BARRED.

Users are solely responsible for:

• Tax reporting;
• Tax filings;
• Tax payments;
• Regulatory compliance.

This includes obligations relating to:

• Trading activity;
• Tournament winnings;
• Rewards;
• Referrals;
• Staking;
• Token distributions;
• Digital asset transactions.

FatCat does not provide tax reporting unless required by law.

Availability and Eligibility

Certain features of the Services may provide users with access to perpetual futures contracts, leveraged trading products, synthetic derivative instruments, or similar financial products (collectively, "Perpetual Products") that are offered, executed, and settled through independent third-party protocols, including but not limited to Hyperliquid and related infrastructure.

Access to Perpetual Products may be restricted or unavailable in certain jurisdictions. FatCat Arena reserves the right, in its sole discretion, to limit, suspend, or prohibit access to Perpetual Products based upon legal, regulatory, compliance, operational, risk management, or business considerations.

Users are solely responsible for determining whether access to Perpetual Products is lawful within their jurisdiction.

User Representations and Warranties

By accessing or utilizing Perpetual Products through the Services, you represent and warrant that:

(a) You are legally permitted to access and utilize such products within your jurisdiction;

(b) You are not using the Services in violation of any law, regulation, or governmental restriction;

(c) You are not acting on behalf of any prohibited person, sanctioned person, restricted entity, or restricted jurisdiction;

(d) You will not use any technology, mechanism, service, VPN, proxy, relay, or other method to circumvent geographic restrictions imposed by FatCat Arena or any third-party protocol;

(e) All information provided by you in connection with the Services is truthful, complete, and accurate;

(f) You understand the risks associated with leveraged derivative products and possess sufficient knowledge and experience to evaluate such risks.

Third-Party Protocols; No Counterparty Relationship

All Perpetual Products accessible through the Services are offered, operated, matched, settled, and administered exclusively by independent third-party protocols.

FatCat Arena:

• Is not your counterparty;
• Is not a broker;
• Is not a dealer;
• Is not a futures commission merchant;
• Is not a clearing organization;
• Is not an exchange operator;
• Does not settle transactions;
• Does not custody positions;
• Does not guarantee execution.

All transactions occur through third-party infrastructure over which FatCat Arena exercises no control.

Users are solely responsible for reviewing and understanding the applicable terms governing such third-party protocols.

No Ownership of Underlying Assets

Perpetual Products are derivative instruments that reference the value of underlying assets.

Participation in a Perpetual Product does not grant ownership of:

• Cryptocurrencies;
• Equities;
• Commodities;
• Indices;
• Securities;
• Voting rights;
• Dividend rights;
• Governance rights;
• Beneficial ownership interests.

Users acknowledge that Perpetual Products are synthetic financial instruments and do not convey ownership of any referenced asset.

Identity Verification and Compliance

FatCat Arena reserves the right to require:

• Identity verification;
• Know-Your-Customer procedures;
• Source-of-funds documentation;
• Proof-of-residency documentation;
• Enhanced due diligence.

FatCat may suspend, restrict, freeze, or terminate access to Perpetual Products where it reasonably suspects:

• Sanctions violations;
• Fraudulent activity;
• Regulatory concerns;
• Money laundering;
• Terrorist financing;
• Compliance violations.

Risk Acknowledgment

Perpetual Products involve substantial risk and are not suitable for all individuals.

By participating in Perpetual Products, you acknowledge and accept that:

• Leverage magnifies both gains and losses;
• You may lose all funds committed to a position;
• Positions may be liquidated automatically;
• Liquidations may occur without warning;
• Funding rates may fluctuate rapidly;
• Mark prices may diverge from market prices;
• Slippage may occur;
• Market volatility may prevent exits;
• Oracle failures may occur;
• Network congestion may occur;
• Smart contract failures may occur;
• Liquidity may disappear without warning.

You further acknowledge that losses may exceed your initial collateral where permitted by the applicable protocol.

Auto-Deleveraging and Forced Position Reductions

Certain protocols may employ auto-deleveraging mechanisms.

Users acknowledge that positions may be:

• Reduced;
• Closed;
• Offset;
• Liquidated;

without prior notice and at prices determined by the applicable protocol.

FatCat Arena has no ability to prevent, control, reverse, or modify such actions.

Competition and Tournament Impact

Perpetual Products may be used in connection with:

• Trading Duels;
• Guild Raids;
• Tournaments;
• Leaderboards;
• Competitive rankings.

Users acknowledge that:

• Liquidation may result in immediate competition loss;
• Protocol failures may affect competition outcomes;
• Data discrepancies may affect rankings;
• FatCat Arena may suspend, void, or recalculate competitions affected by technical issues.

FatCat Arena's determination regarding competition outcomes shall be final.

Release and Hold Harmless

YOU ACKNOWLEDGE THAT PERPETUAL PRODUCTS CARRY A HIGH DEGREE OF FINANCIAL RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE AND HOLD HARMLESS FATCAT ARENA, LLC, ITS AFFILIATES, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, ADVISORS, LICENSORS, AND SERVICE PROVIDERS FROM ANY AND ALL LOSSES, DAMAGES, CLAIMS, LIABILITIES, COSTS, OR EXPENSES ARISING OUT OF OR RELATING TO:

• LEVERAGE;
• LIQUIDATION;
• AUTO-DELEVERAGING;
• MARKET MOVEMENTS;
• SMART CONTRACT FAILURES;
• ORACLE FAILURES;
• NETWORK CONGESTION;
• THIRD-PARTY PROTOCOL ACTIONS;
• COMPETITION OUTCOMES;
• TRADING LOSSES;
• DIGITAL ASSET LOSSES;
• PERPETUAL PRODUCT PARTICIPATION.
